Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and ScribistIQ ("ScribistIQ," "we," "us," or "our") governing your use of the ScribistIQ website and service (the "Service"). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy and Refund Policy, which are incorporated by reference. If you do not agree, do not use the Service.

These Terms contain a binding arbitration agreement and a class-action waiver in the "Dispute resolution" section below. They affect how disputes are resolved. Please read them carefully.

1. Eligibility and accounts

You must be at least 18 years old, and at least the age of majority in your jurisdiction, to use or purchase the Service; the Service is not intended for anyone under 18. You are responsible for the accuracy of your account information, for keeping your credentials confidential, and for all activity under your account. Notify us promptly of any unauthorized use.

2. The Service and changes

The Service is evolving and provided on an ongoing basis. We may add, change, suspend, rate-limit, or discontinue features at any time. Access may be granted or revoked at our discretion, including for violations of these Terms.

3. Subscriptions, credits, and billing

Paid plans and credit packs are billed through our payment processor. Subscriptions renew automatically at the then-current price until cancelled, and you authorize us to charge your payment method for each renewal. You may cancel at any time from your account settings; cancellation takes effect immediately — your subscription and paid plan end at once and revert to the free tier, future renewals stop, and we do not provide refunds or proration for the unused portion of the current billing period. Credits are a license to use the Service and have no cash value. We may change prices, plans, and credit allotments prospectively, with notice for material changes. All payments are subject to our Refund Policy.

4. Your content and AI-generated output

As between you and us, you own the inputs you provide and, to the extent permitted by law, the output you generate ("Your Content"). You grant us a worldwide, non-exclusive, royalty-free license to host, store, process, transmit, display, and create technical copies of Your Content solely as needed to operate and provide the Service to you (including sending inputs to AI providers to produce output). You are responsible for Your Content and for reviewing any output before relying on or publishing it.

AI output is generated by probabilistic models and is provided without guarantee. It may be inaccurate, contain errors or hallucinations, be offensive or unexpected, or resemble output provided to other users or existing works. We do not guarantee that output is original, non-infringing, accurate, or fit for any purpose, and the Service does not provide legal, medical, financial, or other professional advice. You are solely responsible for evaluating output, clearing any third-party rights, and ensuring your use complies with applicable law.

6. Copyright complaints (DMCA)

We respect intellectual-property rights. If you believe content on the Service infringes your copyright, send a notice to legal@scribistiq.com including: identification of the work, identification of the allegedly infringing material and its location, your contact information, a statement of good-faith belief that the use is unauthorized, a statement under penalty of perjury that your notice is accurate and you are authorized to act, and your physical or electronic signature. We will respond to valid notices and may remove content and terminate repeat infringers.

7. Third-party services

The Service relies on third-party providers (for example, payment, AI, hosting, email, and analytics providers). We are not responsible for third-party services, and your use of them may be subject to their own terms.

8. Disclaimer of warranties

THE SERVICE AND ALL OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, secure, or error-free, or that output will be accurate, original, or non-infringing. Some jurisdictions do not allow the exclusion of certain warranties, so parts of this section may not apply to you.

9. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, ScribistIQ AND ITS OWNERS, OPERATORS, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR CONTENT, ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD $100. These limitations do not apply to liability that cannot be excluded or limited under applicable law.

10. Indemnification

You agree to indemnify and hold harmless ScribistIQ and its owners, operators, and suppliers from and against any claims, damages, liabilities, losses, and expenses (including reasonable legal fees) arising out of or relating to Your Content, your use of the Service, your violation of these Terms, or your violation of any law or third-party right.

11. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you violate these Terms or to protect the Service or other users. Sections that by their nature should survive termination (including ownership, disclaimers, limitation of liability, indemnification, and dispute resolution) will survive.

12. Dispute resolution; arbitration; class-action waiver

Please read this section carefully — it affects your legal rights.

Informal resolution first. Before starting any formal proceeding, you agree to contact us at legal@scribistiq.com and give us 30 days to resolve the dispute informally and in good faith.

Binding arbitration. To the fullest extent permitted by applicable law, any dispute, claim, or controversy arising out of or relating to the Service or these Terms that is not resolved informally will be settled by final and binding individual arbitration, rather than in court, except as provided below. Judgment on the award may be entered in any court of competent jurisdiction.

Class-action and jury waiver. To the fullest extent permitted by applicable law, you and ScribistIQ each waive any right to a jury trial and agree that disputes will be brought only in an individual capacity and not as a plaintiff or class member in any purported class, consolidated, or representative proceeding.

Small-claims exception. Either party may bring an individual claim in small-claims court if it qualifies.

30-day right to opt out. You may opt out of this arbitration and class-waiver agreement by emailing legal@scribistiq.com within 30 days of first accepting these Terms, stating your name, account email, and intent to opt out. Opting out will not affect any other part of these Terms.

If the class-action waiver is found unenforceable as to a particular claim, that claim will proceed in court, but the rest of this section still applies. Some jurisdictions do not permit mandatory arbitration or class-action waivers in consumer contracts; where that is the case, this section applies only to the extent permitted, and your non-waivable rights are unaffected.

13. Governing law

These Terms are governed by the laws of the Province of New Brunswick and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles. Subject to the arbitration agreement above, the courts of New Brunswick have exclusive jurisdiction over any dispute, and you irrevocably consent to that jurisdiction. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

14. General

These Terms, together with the Privacy Policy and Refund Policy, are the entire agreement between you and us regarding the Service. If any provision is held invalid or unenforceable, it will be modified to the minimum extent necessary to make it valid and enforceable; if it cannot be, it will be severed, and the remaining provisions will remain in full force and effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. We are not liable for delays or failures caused by events beyond our reasonable control.

15. Changes to these Terms

We may update these Terms from time to time. The current version is always posted on this page with the "Last updated" date above; please review it periodically. Your continued use of the Service after an update takes effect constitutes acceptance of the updated Terms. We provide individual notice of changes only where, and to the extent, required by applicable law (for example, certain changes to auto-renewal terms or pricing); where notice is not legally required, we will not separately notify you, and the current posted version governs.
